1. Acceptance of these terms
These Terms of Service (the “Terms”) are an agreement between you and CBT Labs, Inc., a Delaware corporation (“CBT Labs”, “we”, “us”). They govern your access to the cbtlabs.co website, the application at app.cbtlabs.co and every related service (together, the “Service”).
By creating an account, connecting a marketplace account or using the Service in any way, you accept these Terms. If you do not accept them, do not use the Service.
If you accept these Terms on behalf of a company, you state that you are authorized to bind that company, and “you” means that company.
2. What CBT Labs does
CBT Labs is a tool for cross-border sellers on Mercado Libre. Working from the catalog you provide, the Service can:
- Create and update listings on Mercado Libre in Mexico, Argentina, Brazil, Chile and Colombia through the Global Selling (CBT) program.
- Generate titles, descriptions and attributes adapted to each marketplace, with assistance from artificial intelligence.
- Calculate suggested prices from the cost, margin, taxes and logistics settings you configure.
- Keep stock and prices in sync, and pause listings when a product runs out of stock.
- Read your orders, shipments and marketplace fees to show you sales and profitability.
3. Your account
To use the Service you need an account, which you can create with an email address and a password or by signing in with Google. You must be at least 18 years old and legally able to enter into contracts.
You are responsible for the accuracy of the information in your account, for keeping your credentials secret and for everything that happens under your account. Tell us immediately if you suspect unauthorized access. From your profile you can review your active sessions, sign out of the other ones and delete your account.
4. Connecting your Mercado Libre account
The Service only works once you authorize it against your Mercado Libre seller account through the official OAuth flow. That authorization lets us read and write listings, orders and shipments on your behalf, and nothing beyond what is needed to run the features you use.
Your first listings run through the shared CBT Labs application. After that quota is used, you connect your own application from the Mercado Libre DevCenter and provide its credentials, which we store encrypted and use only to operate your account.
You may revoke the connection at any time, from the Service or from Mercado Libre. Doing so stops publishing and synchronization; it does not take down listings that are already live.
Your relationship with Mercado Libre is governed by their terms. You are responsible for complying with them, and we are not liable for decisions Mercado Libre makes about your account or your listings.
5. Your catalog and your content
Everything you upload or connect — products, images, descriptions, prices, costs and sales data — stays yours. You grant us a limited, non-exclusive license to store, reproduce, translate, adapt and transmit that content, only for the purpose of operating the Service for you.
You state that you have the rights required to sell each product and to use its images, brands and descriptions, and that its listing does not infringe anyone else's rights or the rules of the marketplace.
6. AI-generated listings
Titles, descriptions and translations may be generated by automated language models. They are a starting point, not a finished text: they can contain errors, omissions or claims that do not fit a specific market.
Review what gets published. You remain responsible for the accuracy of your listings, for the legal claims they make and for compliance with the rules of each marketplace and each country.
7. Credits, plans and test mode
The Service works with two separate quantities. Credits are consumed when you publish. Your plan covers keeping published listings updated and synchronized.
Test mode publishes against a Mercado Libre test account so you can verify the result before going live. It does not consume the shared application quota, but it does consume one credit, exactly like a real publication.
Credits and plans are not transferable between accounts and, except where the law requires otherwise, they are not refundable in cash.
8. Billing and subscriptions
Paid plans are billed through Stripe. When you subscribe, you authorize recurring charges to your payment method for each period until you cancel. Prices are shown before you confirm and do not include taxes that may apply where you are.
CBT Labs does not store your full card number: the payment data is handled by Stripe as the processor. You can cancel at any time; the cancellation takes effect at the end of the period already paid, and there is no partial refund for the remainder of that period.
If a charge fails, we may suspend paid features until the account is up to date.
9. Acceptable use
Using the Service, you agree not to:
- Publish counterfeit, illegal, stolen products, or products restricted in the destination country.
- Infringe trademarks, copyright or third-party rights in your listings.
- Circumvent limits, quotas or rules of Mercado Libre, or use the Service to abuse its APIs.
- Share your account with third parties, resell access, or use the Service to operate accounts that are not yours without authorization.
- Attempt to access parts of the system that are not yours, extract data belonging to other customers, or interfere with the availability of the Service.
- Automate use in ways that degrade the Service for other customers.
10. Third-party dependencies and availability
The Service depends on platforms we do not control, in particular Mercado Libre, Amazon as a catalog source, Supabase, Amazon Web Services and Stripe. Changes, outages or decisions on their side may affect what the Service can do.
Synchronization is periodic, not instantaneous. The status shown in the app may lag behind Mercado Libre by up to a few hours between passes. That lag is expected behavior, not a defect.
We do our best to keep the Service available, but we do not commit to an uptime level and we may change, suspend or discontinue features with reasonable notice.
11. Our intellectual property
The software, the interface, the brand, the documentation and everything CBT Labs produces belongs to CBT Labs or its licensors. These Terms grant you a limited, revocable, non-transferable right to use the Service; they transfer no ownership.
You may not copy, decompile, reverse engineer or create derivative works from the Service, except where the law expressly allows it.
12. Suspension and termination
You may stop using the Service and delete your account at any time from your profile. Deletion removes your access and starts the retention process described in the Privacy Policy.
We may suspend or close an account that breaches these Terms, that puts the Service or other customers at risk, or that we are required to close by law or by a marketplace. Where circumstances allow, we will give notice first.
On termination, the sections that by their nature should survive — intellectual property, disclaimers, limitation of liability and governing law — remain in force.
13. Disclaimer of warranties
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim any implied warranty of merchantability, fitness for a particular purpose and non-infringement.
We do not guarantee sales, positions, approvals of listings, price accuracy in every market, or that the Service will be free of interruptions or errors.
14. Limitation of liability
To the maximum extent permitted by law, CBT Labs is not liable for indirect, incidental, special or consequential damages, nor for lost profits, lost sales, lost data or loss of goodwill.
Our total liability for any claim related to the Service is limited to the amount you paid CBT Labs in the twelve months before the event giving rise to the claim.
15. Indemnification
You agree to hold CBT Labs harmless from claims, losses and expenses — including reasonable attorney fees — arising from your content, your products, your use of the Service or your breach of these Terms or of the rules of a marketplace.
16. Changes to these Terms
We may update these Terms. When the change is material, we will notify you by email or inside the app before it takes effect. Continuing to use the Service after that date means you accept the new version.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. Any dispute will be submitted to the state or federal courts located in the State of Delaware, and both parties consent to their jurisdiction.
Nothing here removes consumer protections that the law of your country of residence grants you and that cannot be waived by agreement.
